BJC to Acquire MM Mega Market Vietnam for $720 Million

Thailand’s Berli Jucker Public Company (BJC) has agreed to acquire MM Mega Market Vietnam in a deal valued at 22.5 billion baht, or approximately $720 million, sharpening its position in Vietnam’s wholesale and foodservice ecosystem.

The transaction will be carried out through BJC’s Singapore based subsidiary, C Distribution Asia, which will purchase 921.8 million shares in TCC Land International, the holding company of MM Mega Market Vietnam, from entities linked to TCC Group. TCC Group is controlled by Thai billionaire Charoen Sirivadhanabhakdi.

Completion is targeted for the second quarter of 2026, subject to shareholder and regulatory approvals.

MM Mega Market Vietnam operates around 30 wholesale centres across major cities including Ho Chi Minh City, Hanoi and Da Nang. The chain primarily serves hotels, restaurants, caterers and institutional clients, while also catering to small retailers and household consumers. The company has built direct sourcing partnerships with local farmers and producers, strengthening its fresh food and private label portfolio.

The acquisition consolidates wholesale assets within the TCC network under BJC, which already operates retail and consumer goods businesses across Southeast Asia. In Vietnam, BJC is also associated with modern trade operations, giving the group deeper integration across procurement, logistics and retail distribution.

Franchise and Distribution Impact

For the franchise and small business ecosystem, the deal reinforces backend supply chain capabilities that support foodservice operators, independent retailers and franchise led brands. MM Mega Market’s nationwide procurement network and cold chain infrastructure are expected to enhance sourcing efficiencies, pricing competitiveness and product availability for franchisees operating in the hospitality and quick service segments.

Vietnam remains one of Southeast Asia’s fastest growing consumer markets, with rising urbanisation and expanding organised retail. The integration of MM Mega Market under BJC’s structure is expected to create scale advantages across wholesale, retail and franchise linked distribution channels.

The transaction forms part of a broader restructuring within the TCC Group, aligning regional assets under clearer operational control. Upon completion, BJC will further strengthen its footprint in Vietnam’s wholesale and modern retail landscape, positioning MM Mega Market as a key pillar in its long-term regional growth strategy.
