Yum Brands Eyes Pizza Hut Exit, Enters Exclusive Negotiations with LongRange Capital

Yum! Brands has entered exclusive negotiations with private-equity firm LongRange Capital over a potential sale of Pizza Hut, as the restaurant giant continues a broader strategic review of the struggling pizza chain.

People familiar with the matter said the two companies are progressing discussions on a possible transaction that could be finalized in the coming weeks, although no definitive agreement has been reached and talks remain ongoing. LongRange reportedly secured exclusivity after competing against several interested bidders, including Sycamore Partners.

The potential deal follows Yum’s decision in late 2025 to formally evaluate strategic alternatives for Pizza Hut, including a possible divestment, amid continued operational and sales challenges in its core U.S. market.

Pizza Hut has faced sustained pressure in recent years as competition intensified across the pizza category. U.S. comparable sales at the brand have declined for 10 consecutive quarters, while the chain accounted for approximately 12% of Yum Brands’ total revenue in 2025.

The performance gap between Pizza Hut and Yum’s other major brands has become increasingly evident. Recent quarterly results showed Pizza Hut posting flat system sales and a 16% decline in adjusted operating profit, while Taco Bell and KFC continued to deliver growth in both sales and profitability. Taco Bell recorded system sales growth of 10%, while KFC reported 6% growth during the same period.

The wider fast-food industry is also navigating a difficult operating environment marked by inflationary pressures, elevated commodity costs, softer consumer spending and weakening dining-out demand. Industry analysts have additionally pointed to changing consumer preferences, including growing interest in healthier eating habits, as another challenge for traditional pizza and quick-service brands.

Pizza Hut remains one of the world’s largest restaurant brands despite its recent struggles. The chain operates nearly 20,000 restaurants globally and maintains a presence across more than 100 countries and territories. In the United States, Pizza Hut operates more than 6,000 locations and remains the country’s second-largest pizza chain by sales.

Earlier this year, Yum announced plans to close around 250 underperforming Pizza Hut restaurants across the U.S. as part of ongoing efforts to improve the brand’s performance. The closures represent roughly 3% of the chain’s domestic footprint and form part of the company’s broader review of the business.

Founded in 1958 in Wichita, Kansas, Pizza Hut became part of Yum Brands after PepsiCo spun off its restaurant division in 1997. Today, Yum Brands operates more than 63,000 restaurants across over 155 countries through its portfolio that includes Pizza Hut, KFC, Taco Bell and Habit Burger & Grill.

The reported negotiations also reflect a broader consolidation trend within the restaurant sector, where several chains have explored private-equity deals or strategic alternatives amid rising operating costs and changing consumer behaviour. Market observers have noted that brands including Papa Johns have also been linked to potential sale discussions in recent months.

Investor sentiment appeared positive following reports of the exclusive talks, with Yum Brands shares rising about 3% in extended trading as investors assessed the possibility of the company sharpening its focus on its faster-growing brands.
